• Scope of Services
The W3C Platform agrees to provide software development services to the Clients as outlined in the project proposal or statement of work (SOW). The specific deliverables, timelines, and pricing will be agreed upon separately in writing.
• Client Responsibilities
The Clients agree to provide the W3C Platform with all necessary information, materials, and access to systems or platforms required for the successful execution of the software development project. The Clients are responsible for ensuring the accuracy and completeness of the provided information.
• Intellectual Property
The W3C Platform acknowledges that all pre-existing intellectual property, including copyrights, trademarks, and patents, owned by the Clients shall remain their sole property. Any new intellectual property created during the software development project will be the property of the Clients, unless otherwise agreed upon in writing.
• Confidentiality
Both the W3C Platform and the Clients agree to treat all confidential information exchanged during the course of the software development project as strictly confidential. This includes any proprietary business information, trade secrets, or any other non-public information. The obligation of confidentiality extends beyond the termination of the project.
• Payment Terms
The Clients agree to pay the W3C Platform the agreed-upon fees for the software development services rendered. Payment terms, including rates, milestones, and invoicing procedures, will be outlined in the project proposal or SOW. The W3C Platform reserves the right to suspend or terminate services if payment is not received as per the agreed terms.
• Project Timeline
The W3C Platform will make reasonable efforts to meet the agreed project timeline. However, unforeseen circumstances, such as technical issues or scope changes, may impact the delivery schedule. The Clients agree to cooperate with the W3C Platform to ensure a smooth project execution and timely completion.
• Warranty and Support
The W3C Platform will provide a warranty period for the software developed, during which it will rectify any defects or errors free of charge. The warranty period and the extent of support will be specified in the project proposal or SOW.
• Limitation of Liability
The W3C Platform shall not be liable for any indirect, consequential, incidental, or punitive damages arising out of or related to the software development services provided, including but not limited to loss of data, loss of profits, or business interruption. The liability of the W3C Platform shall be limited to the fees paid by the Clients for the specific software development project.
